1. The short version
MoneyLoop is a payroll and HR platform. When you sign up you agree to pay for the plan you choose, use the product for its intended purpose, and be honest with us about your business. In exchange we provide the service, keep your data safe, and give you a straight answer when something goes wrong.
The sections below are the legal version. If anything here conflicts with that summary, the legal text governs.
2. Acceptance
By creating an account, clicking “I agree,” or using the service, you accept these Terms and agree to the Privacy Policy. If you are using MoneyLoop on behalf of a company, you represent that you have the authority to bind that company.
3. Accounts
You agree to provide accurate information, keep your login credentials secure, and notify us right away if you suspect unauthorized use. You are responsible for all activity that happens under your account.
You must be at least 18 and legally able to enter a contract. We may refuse or terminate accounts at our reasonable discretion — for example, if we believe the account is being used to violate law or these Terms.
4. Payment & subscriptions
MoneyLoop offers monthly and annual subscription tiers. Your plan renews automatically at the end of each billing cycle unless you cancel from the dashboard. You can cancel at any time; your access continues until the end of the current paid period.
- Fees. You authorize us to charge your payment method for all fees for your chosen plan, including per-employee fees and applicable taxes.
- Price changes. We may change pricing with at least 30 days’ notice before your next renewal.
- Refunds. Monthly fees are non-refundable. Annual plans are refundable on a pro-rata basis within 30 days of signup. Tax-filing fees are non-refundable once a filing has been submitted on your behalf.
5. Acceptable use
You agree not to:
- Use the service for anything illegal or fraudulent.
- Attempt to probe, scan, or test the vulnerability of our systems without our written permission (responsible disclosure is welcome at security@moneyloop.ai).
- Reverse-engineer the service, except to the extent expressly permitted by applicable law.
- Share your credentials or impersonate another user.
- Use automated scripts to access the service beyond what our public API permits.
6. Employee data
When you submit employee information to MoneyLoop you are the data controller and we are the data processor. You are responsible for having a lawful basis to collect that data and for notifying employees as required by local law.
We process employee data only to deliver the service you requested (payroll, tax filings, direct deposit, benefits administration) and in accordance with our Privacy Policy. A Data Processing Agreement is available on request and is incorporated into these Terms for GDPR, UK GDPR, and California CCPA/CPRA users.
7. Intellectual property
MoneyLoop and its original content, features, and functionality are owned by MoneyLoop, Inc. and protected by copyright, trademark, and other laws. We grant you a non-exclusive, non-transferable, revocable license to use the service for your internal business purposes during the term of your subscription.
You retain ownership of all data you or your employees submit. You grant us a limited license to process that data as needed to provide the service.
8. Disclaimers
We work hard to calculate taxes correctly and file on time. We are not your accountant, lawyer, or tax advisor. The service is provided “as is” to the fullest extent permitted by law, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, MoneyLoop’s total liability for any claim arising out of or relating to these Terms or the service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) $500.
Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, even if advised of the possibility of such damages. This limitation does not apply to obligations under “Indemnification,” breaches of confidentiality, or liability that cannot be limited under applicable law.
10. Indemnification
You agree to indemnify and hold harmless MoneyLoop, its officers, directors, and employees from any claim or demand arising out of (a) your use of the service in violation of these Terms, (b) your violation of any law or third-party right, or (c) data you submitted that infringes on another person’s rights.
MoneyLoop agrees to indemnify you against third-party claims that the service, as provided by us and used in accordance with these Terms, infringes a valid U.S. patent, copyright, or trademark.
11. Termination
You may cancel your subscription at any time from the dashboard. We may suspend or terminate your access if you breach these Terms or use the service in a way that creates risk for other customers, our providers, or us.
On termination, we provide a 30-day window for you to export data before we begin deletion on the schedule in our Privacy Policy.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction there.
13. Changes to terms
We may update these Terms from time to time. If a change is material we will notify you by email or in-product at least 14 days before it takes effect. Continuing to use the service after the effective date counts as acceptance.
